Statutory Disclosures
Indian company law and the conditions attached to our environmental clearances require certain documents to be published on the company’s own website. This page is where they are placed. Entries marked in square brackets are not yet published; they are shown so that what is outstanding is visible rather than hidden.
Annual return
Under section 92(3) of the Companies Act, 2013 a company places a copy of its annual return in Form MGT-7 on its website, and cites the web address in the Board’s report. This section is that place.
- [Form MGT-7 — financial year 2024-25 — to be supplied]
- [Earlier financial years — the Company Secretary is confirming which returns have been filed]
Notices of general meetings
A notice of a general meeting is published here at the same time it is sent to members, and stays here until the meeting has concluded.
- [No general meeting notice is open at the date of publication — to confirm]
Changes to the board
Where a director resigns, the company posts that information here within thirty days of receiving the notice of resignation, as required by the Companies (Appointment and Qualification of Directors) Rules, 2014.
- [No director resignation falls to be posted at the date of publication — to confirm]
Policies
Several policies must be published on the website once the company crosses the financial thresholds the Companies Act attaches to them. Whether those thresholds are crossed is being determined; nothing below is asserted either way, and no policy appears here until the Board has adopted it.
- [Corporate social responsibility policy, committee composition and projects — applicability being determined]
- [Vigil mechanism / whistle-blower policy — applicability being determined]
- [Nomination and remuneration policy — applicability being determined]
- [Terms and conditions of appointment of independent directors — applicability being determined]
The further policies and disclosures that the SEBI Listing Regulations require of a listed company will be published if and when the company is listed. The company is not listed today and no listing date has been set.
Unclaimed amounts
Where a dividend has been declared and remains unclaimed, the Companies Act requires the company to publish the details, and to name the officer who deals with claims made to the Investor Education and Protection Fund.
- [Whether any dividend has been declared and remains unclaimed — to confirm]
Environmental clearance compliance
The conditions attached to an environmental clearance require the clearance letter itself, half-yearly compliance status reports, and the annual environmental statement to be displayed on the company’s own website. The clearances for the sugar mill, the distillery, the cogeneration plant and the compressed biogas project are being collated so that the relevant documents can be placed here.
- [Environmental clearance letters — to be supplied]
- [Six-monthly compliance status report — period ending 31 March 2026 — to be supplied]
- [Six-monthly compliance status report — period ending 30 September 2025 — to be supplied]
- [Form-V environmental statement — financial year 2025-26 — to be supplied]
